OVERVIEW
Mike is a Partner in the corporate, finance and commercial transactions services team, with a broad range of experience in domestic and cross-border banking and finance transactions. This includes sovereign financing, ESG financing, project financing, corporate and individual financing, workouts and restructuring, property finance, and acquisition finance. He has worked with lenders, borrowers, and sponsors on various types of financing transactions, such as syndicated, bilateral, secured, unsecured, and structured financing. Mike has dealt with a diverse range of collateral assets such as shares, land, bank accounts, intellectual property, revenue streams, insurance policies, and other contractual rights.
Formerly, Mike was an Associate at Corpus Legal Practitioner under the Banking and Finance Dept before being seconded to the Legal Department of the African Banking Corporation Zambia Limited T/A Atlas Mara Zambia, to assist on numerous legal tasks including but not limited to M&A issues in relation to a potential takeover of Atlas Mara by Equity Group Holdings in 2019.
Mike is a member of the Law Association of Zambia and belongs to various committees of the Law Association of Zambia.
PERSONAL EXPERIENCE
- ALCF I Investment II Proprietary Limited, on the Zambian competition law aspects in connection with the acquisition of 37.62 percent stake in FSG Limited, a transaction which has since been reported by Sunday Standard Reporter.
- The Standard Bank of South Africa Limited in connection with the US$16,405,125.00 senior secured loan facility to Zambian Property Holdings Limited.
- The Standard Bank of South Africa Limited in the provision of US$306,000,000.00 to among others, Grit Real Estate Income Group Limited. A transaction which has been reported as one of the largest African sustainability linked deal by Bloomberg.
- First Quantum Minerals Limited in connection to the ground-breaking amalgamation between Kiwara Resources Zambia Limited and Kalumbila Minerals Limited, including whether the transaction would trigger ministerial consent in terms of provisions of the Mines and Mineral Development Act.
- Jumo World Limited, a mobile financial services platform for mobile network operators and banks, in connection with the US$30 Million Term Loan Facility from GemCorp Capital LLP.
